Terms and Conditions These Terms and Conditions ("Agreement") govern the use of the services provided by Motion Pixel Tech Pvt Ltd ("Company") to its clients ("Client") in relation to web development services, app development services, graphic designing services, digital marketing services, and promotion services ("Services"). By accessing or using the Services, the Client agrees to be bound by this Agreement. If the Client does not agree with any part of this Agreement, they should not use the Services.

1. Scope of Services
1.1 Web Development Service: Motion Pixel Tech Pvt Ltd offers professional web development services, including but not limited to website design, website development, website maintenance, and website hosting.

1.2 App Development Service: Motion Pixel Tech Pvt Ltd provides app development services for mobile platforms, including but not limited to iOS and Android. This includes app design, development, testing, and deployment.

1.3 Graphic Designing Service: Motion Pixel Tech Pvt Ltd offers graphic designing services, such as logo design, branding, illustration, and other graphic design-related work.

1.4 Digital Marketing Service: Motion Pixel Tech Pvt Ltd provides digital marketing services, including search engine optimization (SEO), search engine marketing (SEM), social media marketing (SMM), content marketing, and online advertising.

1.5 Promotion Service: Motion Pixel Tech Pvt Ltd assists in promoting the Client's products or services through various channels, including online and offline marketing strategies.

2. Client Responsibilities
2.1 Content and Materials: The Client is responsible for providing all necessary content, materials, and information required for the provision of the Services. The Client ensures that all provided content and materials do not infringe any third-party rights.

2.2 Timely Cooperation: The Client agrees to cooperate with Motion Pixel Tech Pvt Ltd and provide timely feedback, approvals, and any other assistance required for the provision of the Services.

2.3 Accuracy of Information: The Client acknowledges that they are responsible for the accuracy and completeness of any information provided to Motion Pixel Tech Pvt Ltd. The Client agrees to review and verify all deliverables before final approval.

3. Intellectual Property
3.1 Ownership: All intellectual property rights, including copyrights, trademarks, and any other rights, related to the deliverables created by Motion Pixel Tech Pvt Ltd under this Agreement shall be owned by Motion Pixel Tech Pvt Ltd, unless otherwise agreed upon in writing.

3.2 Client's Intellectual Property: The Client retains ownership of any pre-existing intellectual property rights they provide to Motion Pixel Tech Pvt Ltd for the purpose of completing the Services.

3.3 Usage Rights: Upon full payment for the Services, Motion Pixel Tech Pvt Ltd grants the Client a non-exclusive, worldwide, and perpetual license to use the deliverables created for the Client's specific project.

4. Confidentiality
4.1 Confidential Information: Both parties agree to keep any confidential information received from the other party confidential. This includes but is not limited to business strategies, trade secrets, client lists, and any other proprietary information.

4.2 Exceptions: The obligations of confidentiality do not apply to information that is already publicly known or becomes publicly known through no fault of the receiving party, information required to be disclosed by law, or information that was independently developed by the receiving party without reference to the disclosing party's confidential information.

5. Payment Terms
5.1 Pricing: The Client agrees to pay the fees as agreed upon in the project proposal or quotation provided by Motion Pixel Tech Pvt Ltd. The fees may vary based on the specific Services and project requirements.

5.2 Invoicing and Payment: Motion Pixel Tech Pvt Ltd will issue invoices for the Services provided, and payment is due within the specified timeframe stated in the invoice. Late payments may be subject to interest charges or suspension of Services.

5.3 Refunds: Refunds are subject to the refund policy outlined in the project proposal or quotation. The Client agrees to review and understand the refund policy before engaging in the Services.

6. Termination
6.1 Termination by Client: The Client may terminate this Agreement by providing written notice to Motion Pixel Tech Pvt Ltd. Termination fees may apply based on the stage of completion of the Services.

6.2 Termination by Motion Pixel Tech Pvt Ltd: Motion Pixel Tech Pvt Ltd reserves the right to terminate this Agreement or suspend the provision of Services if the Client fails to comply with this Agreement or engages in any activity that may harm the reputation or operations of Motion Pixel Tech Pvt Ltd.

7. Limitation of Liability
7.1 No Consequential Damages: Motion Pixel Tech Pvt Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement, even if advised of the possibility of such damages.

7.2 Liability Cap: Motion Pixel Tech Pvt Ltd's maximum liability under this Agreement, whether in contract, tort, or otherwise, shall be limited to the total amount paid by the Client for the Services provided in the preceding three months.

8. Governing Law and Dispute Resolution
8.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].

8.2 Dispute Resolution: Any disputes arising out of or in connection with this Agreement shall be resolved amicably through good-faith negotiations. If a resolution cannot be reached, the parties agree to pursue mediation or arbitration as the primary means of dispute resolution.

Entire Agreement This Agreement constitutes the entire agreement between Motion Pixel Tech Pvt Ltd and the Client regarding the provision of Services and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter herein. By accepting these Terms and Conditions, the Client acknowledges that they have read, understood, and agreed to be bound by all the provisions outlined in this Agreement.
